Terms of Service

1. Acceptance of Terms
By accessing or using GoMinify's website at gominify.com ("Site") or engaging our studio sprint services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services.
These Terms govern both your use of the Site (including the SaaS Waste Calculator and Tool Directory) and any paid engagement for Studio Sprint services.
2. Services Overview
GoMinify Studio offers the following services ("Studio Sprints"):
Sprint 01 — Full-Stack MVP Launch
$2,200Development of a production-ready Next.js web application including database, auth, payments, and deployment.
Sprint 02 — Applied AI & RAG Workflows
$3,500Custom AI feature development including LLM integrations, vector search, RAG pipelines, and chatbot workflows.
Sprint 03 — Custom Scrapers & Chrome Extensions
$1,500Development of Manifest V3 Chrome extensions, Apify scraper actors, or browser automation scripts.
3. Engagement & Payment Terms
3.1 Project Brief & Scope
All Studio Sprint engagements begin with a signed Project Brief that defines the deliverables, timeline, and payment schedule. No work commences until the Project Brief is agreed upon in writing by both parties.
3.2 Payment Schedule
- 50% deposit required before work commences
- 50% balance due upon delivery of final deliverables
- All prices are in USD unless otherwise agreed in writing
- Invoices are due within 7 days of issuance
3.3 Scope Changes
Any changes to the agreed project scope ("change requests") must be submitted in writing and are subject to additional pricing and timeline adjustments. GoMinify reserves the right to decline change requests that fundamentally alter the agreed sprint scope.
4. Intellectual Property
Client Ownership: Upon receipt of full payment, GoMinify assigns to the client full ownership of all custom code, assets, and deliverables produced under the sprint engagement. This includes source code, design assets, and documentation.
GoMinify's Pre-existing IP: Any open-source libraries, reusable utilities, or tools that GoMinify uses in the development process that were created prior to the engagement remain the property of GoMinify. Their use in your project is subject to their respective open-source licences.
Portfolio Rights: Unless explicitly agreed otherwise in writing, GoMinify reserves the right to display completed work in its portfolio, case studies, and marketing materials. Confidential business logic or proprietary algorithms will not be disclosed.
5. Confidentiality
GoMinify treats all client project information, business logic, and technical specifications as confidential. We are willing to sign a mutual Non-Disclosure Agreement (NDA) before any technical discussion begins. Please request this at contact@gominify.com.
6. Cancellation & Refunds
Before work begins: Full refund of any deposit paid if cancellation is requested before the Project Brief is signed.
After work begins: Deposits are non-refundable once development has commenced. GoMinify will deliver all work completed up to the cancellation date.
Disputes: If you are unsatisfied with delivered work, notify us within 7 days of delivery. GoMinify will make reasonable efforts to address feedback within the agreed sprint scope at no additional cost.
7. Tool Directory & Affiliate Links
The Tool Directory on our Site contains affiliate referral links to third-party software products. GoMinify may earn a commission when you sign up for these tools through our links, at no additional cost to you.
GoMinify does not warrant or guarantee the performance, availability, or suitability of any third-party tool listed. Any relationship you form with a third-party tool provider is solely between you and that provider.
8. Disclaimer of Warranties
The Site and its free tools (including the SaaS Waste Calculator) are provided "as is" without warranty of any kind. GoMinify does not guarantee the accuracy of cost, performance, or savings estimates provided by the calculator. These are illustrative estimates based on publicly available pricing.
9. Limitation of Liability
To the fullest extent permitted by law, GoMinify's total liability for any claim arising from the use of our Site or Services shall not exceed the amount paid by you for the specific sprint engagement giving rise to the claim. GoMinify shall not be liable for indirect, incidental, special, consequential, or punitive damages.
10. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the jurisdiction agreed upon in the Project Brief.
11. Changes to These Terms
GoMinify reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. For active sprint engagements, the Terms in effect at the time of the Project Brief signing shall govern that engagement.
